Delaware is experiencing a decline in tech companies as reports suggest that Meta and Dropbox are planning to leave the state. Newsweek reached out to both companies for comments via email.
Delaware has been known for its business-friendly environment due to corporate tax benefits and is home to many large companies. However, dissatisfaction has grown following a ruling by Judge Kathaleen McCormick, who deemed Elon Musk's $56 billion compensation package excessive. Musk, a prominent figure in business and politics, has called for companies to exit the Democratic-led state. He announced in February 2024 that SpaceX would also be moving its incorporation from Delaware to Texas, following Tesla's relocation from California to Texas in 2021.
Reports indicate that Meta, which owns Facebook, Instagram, and WhatsApp, is considering relocating its incorporation from Delaware to another state, likely Texas. The company has been discussing this move with Texas officials, although other states are also being evaluated. These talks reportedly began before Donald Trump returned to office, as Musk has a role in the new administration.
Texas is seen as having a more favorable environment for businesses regarding legal and tax matters. In addition, Dropbox is said to be transitioning its incorporation from Delaware to Nevada, a move approved by a majority of its shareholders. The news of Dropbox’s decision was disclosed in a letter to its stockholders shared on social media.
Experts have commented on the situation. Stephen Bainbridge, a law professor, highlighted that Texas is trying to signal that its courts would be more business-friendly than those in Delaware, although there is no guarantee of this happening. Eric Talley, a corporate law professor, suggested that the movements of Musk and Zuckerberg could be a gamble on Texas developing a legal environment that is more lenient for company owners, potentially allowing conflicts of interest to be overlooked.
Robert Anderson, another law professor, referred to Dropbox's exit from Delaware as a significant event in the corporate law field. Musk has publicly advised against incorporating in Delaware.
Dropbox informed its stockholders about the approval for relocating its incorporation from Delaware to Nevada, indicating that a majority of shareholders had agreed to this decision. Current timelines for when Meta and Dropbox will formally leave Delaware remain uncertain.
